If you want or need more advice on that BAO email me, I am speaking from experience and am currently going through h&ll because of it 
Make sure you have a very good shareholder agreement written out and signed by all and also the Memorandum and Articles reflect every scenario if any of you want out at some stage. Seriously I am speaking from experience that these things are always ignored at the start up phase as everyone is excited and friendly but later on it can get VERY VERY messy if its not done at the start
