Re: RNS - Acquisition So, WSBN has paid Solent Nominees with 240 million of its own shares for its (WSBN's) purchase of Precious Metals Intl Ltd. Solent now owns 24% of WSBN. The deal also means the issuance of 240 million NEW shares (at some point in the future) which will be owned by Solent once the Precious Metals Group reaches a post-tax profit of USD 1 million. New shares means dilution of existing shares. Don't get me wrong. 21.92% increase in share price over one trading day for someone who own > 1.5 million shares is a wholly acceptable state of affairs. No complaints there. But do I read the second half of the acquisition deal correctly? (Mind you, I speed-read the article, have no time to read carefully). Will there be a placing of 240 million NEW shares? Someone please enlighten.

Black Sand FZE Acquisition Wishbone Gold is pleased to announce the acquisition of Precious Metals International Ltd ("PMI" and its wholly owned subsidiary, Black Sand FZE ("Black Sand" (together Black Sand and PMI are "the PMI Group" in an all share transaction. Black Sand holds a gold, precious metals and gem trading licence to operate in the United Arab Emirates. Black Sand currently has agreements in place for importing gold from Colombia and Honduras with a pipeline of other supply deals from other parts of South America. Black Sand was established by its CEO Barret Kosh in 2014 as a successor company to Multinational Commodities FZE which had an established profitable trading record. The PMI Group is 100% owned by Solent Nominees ("Solent", an independent Gibraltar based nominee company which holds these shares on behalf of Mr Kosh. Solent currently holds preference shares over the PMI Group which will continue to entitle them to 30% of any annual audited profits after tax in the PMI Group. These preference shares hold no voting rights and are effectively a management incentive plan. The PMI Group made a nominal loss of £5,564 for the financial year ended 30 June 2015 and had gross assets of £454. It has not yet produced any revenue but is in the process of transferring Multinational Commodities FZE's trading relationships. The terms of the acquisition are an initial payment of 240,000,000 ordinary shares of 0.1p each in the Company ("Ordinary Shares" with a further payment of an additional 240,000,000 Ordinary Shares once the annual profit after tax of the PMI Group exceeds $1m. This values the initial consideration for the PMI Group at £648,000, based on the Company's closing mid-market share price on 3 February 2016 of 0.27p per share. Wishbone retains its Australian exploration properties and considers that in due course it may become possible to realise synergies between the exploration and trading operations of the Company. Chairman & CEO Richard Poulden commented, "This moves Wishbone into a position where rather than being just another exploration company with promising properties it will now be in a position where it also has the support of cash flow from the trading operations in Dubai. I look forward to this being a new phase in Wishbone's development". The Company had previously stated on 11 September 2015 that it had 759,900,464 Ordinary Shares in issue. Due to an administrative error, this figure was in fact incorrect and should have been 759,900,364. Application has been made for the new Ordinary Shares to be admitted to trading on AIM, which is expected to occur on 10 February 2016. Following the issue of the new Ordinary Shares, and for the purposes of the Disclosure and Transparency Rules, the Company's total issued share capital on Admission will consist of 999,990,364 Ordinary Shares.
Re: Why the massive uptick today? I've had a look at the LSE site, as you suggested, thanks for directing me to it. Yes, there's a lot more chatter over there. But the only thing that's making me buy WSBN is the board's previous success with Sirius. Reputation is not everything, but it's a lot.

For the record the 'sell' showing on L2 for 307692 shares, was actually a buy, because it was me having a little top up.I'll continue buying up to 0.80p and then hold until we get further news on progress from the business.It will be very interesting to see if this business venture by Richard Poulden eclipses his previous adventures at Sirius GLABomber

A lot more chat over on LSE[link] help you get a better picture, but there IS a lot of chaff amongst the wheat so you will need to do some sorting!This platform seems to have gone very quiet across the board. I think it has something to do with the 'Bashers' that have flooded the iii boards over the last year or so.

I've googled for info but have come up empty. 27.91% increase is a mighty nice price movement (though it did retrace towards the close of market) but I'd like to know why. And why is this board so creepily quiet? Doesn't anyone own this share anymore (apart from myself and Poulden?)

RNS Late yesterday So, here's the reason for the price movement and we know from Sirius days that there's no smoke without fire!The Directors of the Company note the increase in its share price today. The Company can announce that it is currently in discussions regarding the potential acquisition of a complementary business (the "Potential Acquisition" which would be classified as a substantial transaction under Rule 12 of the AIM Rules for Companies. There is no guarantee that these discussions will result in the Potential Acquisition being successful. For the avoidance of doubt, the Potential Acquisition would not be classified as a reverse takeover pursuant to Rule 14 of the AIM Rules.
