Reach RNS Wednesday Airbus RNS Number : 2379X Versarien PLC 18 December 2019 Versarien plc (“Versarien†or the “Companyâ€) Airbus Graphene Flagship Project Versarien Plc (AIM: VRS), the advanced materials engineering group, is pleased to announce that it has been selected to participate in the Graphene Flagship project led by Airbus (the “Projectâ€). Funded by the European Commission, the Graphene Flagship facilitates cooperation between its partners, accelerating the timeline for industry acceptance of graphene technologies. The Project that Versarien will participate in will be led by Airbus and will focus on graphene enhanced thermoelectric ice protection systems. Ice accumulates on the surfaces of airplanes affecting the pilot’s control of the aircraft. Thermoelectric ice protection systems prevent this from happening using an ultra-thin conductive layer to generate heat. The Project, which is categorised by the Graphene Flagship as a “Spearheadâ€, large-scale commercialisation project, aims to develop graphene-based thermoelectric ice protection systems and to advance the technology readiness level of graphene in these systems. To fund Versarien’s participation in the Project it has received approval for a €350,000 grant from the Graphene Flagship. Elmar Bonaccurso, Senior Scientist and Project Manager for Surface Technology at Airbus, commented: “Airbus has been following the Graphene Flagship from the beginning. Now, after six years of successful research and development, we are at the right point to step in with a larger project. We expect that, by using graphene as a material for ice protection systems, we can reduce the complexity of these systems to create a system that uses less energy, reduces fuel consumption and allows us to become more environmentally friendly in aviation.†Neill Ricketts, CEO of Versarien, commented: “We are very pleased to be working with Airbus on this key Graphene Flagship project and to be receiving funding from the Graphene Flagship to facilitate it. This is another example of Versarien’s graphene technology being deployed in the aerospace sector, one where it has the potential to add significant value. We look forward to starting work on this project in the New Year and reporting on its progress and those of our many other commercialisation projects in due course.â€

Interims Notes from an investor meet with Neill this evening! "Neill and Nigel arrived wearing very festive, Christmas hats. Neill has injured his right hand playing rugby last weekend so we all shook hands left handed. There was a lot of info that he told us that was caveated with “not to appear on the BBsâ€. For anyone that has watched Chris’ interview today, it was a first time for him and Neill said he was ****ing himeself about it. Interestingly nothing in teh video is real apart from the 2x people. It is filmed in a small room with a green screen background and then the city etc is added on post production. China: A better offer came up. The big thing is JBG are not interested in the IP, or having any control of the process - they are happy for VRS to control everything. BIGT wanted some/all control. Lawyers are slow, Chinese lawyers are slow (and very expensive). USA: Brian is a very different kettle of fish to Patrick. Neill said he enjoys not having calls at midnight. MAS: I asked about the durability/washabilty of the material incorporasting Graphinks. Neills response was that top of their game sports pros rarely wear the ame clothing for each game - new ones each time. Even boots are sometimes replaced for each one. However, testing for durability had been acceptable. An interesting general conversation about the company. Neill said they dont have/need a large sales force because they have the same approach as Tesla. The owners are the best sales force for the company. In our case he means us, the shareholders. By way of example (and something I sensed he was quite proud of) the down hole oil pump opportunity came about purely from an introduction by one of the shareholders to VRS. They expect to ink the contract on that early next year. AECOM arch: Didn’t quite hear this fully but testing should be complete by now (a comment from someone to me was the arch sways quite a lot in the wind). I am not allowed to repeat the remainder of what he said. Aircraft: Adding graphene is a cost adder for the component but a cost saver for the manufacturing cost (in addition to the lightweighting for fuel saving). The day ended as Neill was due at the hospital due to his injury. It was a good meet-up and we all left with signed copies of RTGs calender - a challenge for Neill given he is right handed and that was the hand that was bandaged."

Interims Another report from the ‘Bangers’ meeting Thursday night. I reitterate my view that some of the announcements in Thursdays Interims RNS were played down. The stand out was in relation to the non-binding term sheet with Jinan Bo Guan Building Engineering Co., Ltd (JBG). Neill should have made it clear how important this was and maybe we wouldn’t have suffered the drop we did over Thursday if he had! This news is pretty significant in my view and should have been RNS’d seperately at some point. NOMAD interference perhaps?? All the same a great sp retrace yesterday! eyeson For those not on advfn…courtesy of brassneck2…brilliant post… "Bangers meeting Firstly apologies this is so late after the event but I’ve put my thoughts on the areas discussed below. I won’t repeat the various comments made as much has already been accurately reported. Instead I’ll give my interpretation of the priority areas as I see them plus the cash position It was the first event I’ve attended and so first time meeting Neill and Chris. I have to say both were very relaxed and confident in the position the company is in. I was impressed by both. Cash: Undoubtedly they were both irked by the rubbish that has been posted about the cash balance. They are adamant they have at least 15months cash in hand. Gnanomat is a red herring. They are funding it now and don’t need to make particular payments on any particular dates. They have been pretty successful in securing grants for research and development and will continue to seek these, such as EU battery development grants. There will be no fundraise unless directly linked to a strategic investment, most likely from China. China: I think I’d underestimated Neill’s desire to ensure they get the right deal in China. There are 4 key aspects to this. Valuation of the stake and ensuring 50% of the proceeds flow back to the UK are two but the most important clearly seem to be IP protection and Control. There was a long discussion on this and linked to the results RNS. The non-binding term sheet signed with JBG is much more significant that people seem to have realised. The paragraph in Neill’s CEO comments is key, including the strategic investment. JBG aren’t interested in either IP or Control and are happy for VRS to control the Graphene valley park incubation in terms of businesses coming in and activities supported. It appears for JBG it’s a property play and they want to establish lots of these parks as China seek to massively invest in Graphene. I now think they will be the ones to invest in VRS and legally binding terms may not be far off with this a model to role out to many other provinces and the longer term vision of dozens of Graphene valleys in China. I think BIGT is further off as they appear to want more control over proceedings and greater IP risk, not least due to various military interests and applications that China have. If VRS progress with JBG you may see BIGT modify their position and there still be a deal done. BIGT are a facilitator and so can still do this in the parks established by VRS and JBG. This was my interpretation anyway but it’s a moving feast. With either of them the valuation and flow of funds didn’t seem an issue. Competition: This area gave me most comfort. Neill clearly thinks there is no one around even close to VRS in capability to produce multi tonne Graphene (the proper stuff). This is why everyone beats a path to their door. My assumption was that someone will get verified soon but so long as the ISO standards of sub 10 layer remain for Graphene it doesn’t seem likely. VRS have a clear run at this market which delighted me. Big 5: More good news here as they all seem much closer than I thought. Textiles has been covered and looks a really good partnership that will grow both businesses. I don’t think it will be long before a product launch. Arch is there and waiting for TFL to make a decision. Concrete in testing and progressing well. Aircraft part very close too as is oil and gas with good results from the batch produced from the 12kg order. The foundations are there and Neill is putting together a class operation. We can’t expect revenues overnight but I do think they are coming and will build materially over time. Don’t expect an immediate multi tonne multi million instant order RNS, I think with any of the big 5 it will be a gradual build of orders with agreements in place that will last years. If they can land only a fraction of this it will be happy days."
Interims Notes from the podcast: Words (other than those in brackets, which are my comments) are ‘roughly’ Neill’s my shorthand isn’t that accurate… I’d like to thank the team for their achievements in China, Japan, S Korea & the US (interesting that he now always mentions these 4…) The 24 are a LONG way through their development, they’ve achieved what the customers were looking for and we’re working through that process… The Top 5 - the timing is near term and are all, for a small company, super stellar opportunities working with large Global companies that are very very interested in our product. What’s happening a day to day basis is that major companies are realising that true, good material is very difficult to get hold of and with our material verified by different bodies that’s whats really attractive to them Revenues are down due to taking out lower margin products to make way for new ones We are doing this in a simultaneous not a sequential way - we’ve taken on more projects and thats an expense - we’ve increased our technical team -because we were oversubscribed at the last placing, we have the flexibility - the cash burn is in our control - we’re pushing hard in a lot of different directions The results show significant progress in China -we’re getting the deal that I want - it’s hard to walk away from a deal to make sure that you get the deal that’s right for the company Products are starting to become available now -We’re laying down the foundations, making sure that we become a really substantial company!
