Loan note conversion The only impact I can see is dilution: another 20+M shares were added.

Donatron 06 Nov 2018

Loan note conversion That’s not really what I’m asking though - is there any impact on current shareholders from yesterday’s news? I’ll have a dig through how this loan has been presented in the financial statements at some point.

Loan note conversion Loosely on the LSE board has an answer: “You find the explanation in the May 2017 circular titled “Issue of 18 million Convertible Loan Notes at £0.50 per loan note - Placing of up to 2,577,777 new Ordinary Shares at a price of £0.45 per share and Notice of General Meeting.” The 18 million convertible loan notes at a price of £0.50 per loan note were issued to Ervington and Lansdowne. The difference is related to the accrued interest over the period which is also stipulated on page 14 of the document.”

Loan note conversion Can anyone shed any light on the mechanics of what this means? I thought it was obvious, but the more I look into it, the less sense it makes! Looking at the interims from June 2018, the convertible loan and the accrued interest was already fully included in the share premium section of equity. The company was therefore not showing any liability in respect of repayment and thus there is no increase in net assets by issuing shares instead of repaying a debt. Given it will increase the number of shares in issue, that implies it is therefore dilutive on a NAV per share basis? That seems counter-intuitive given that we essentially received £9m in exchange for handing over shares with a market value of only about £1m. The remaining £8m is therefore free money, so if anything I would have expected that today’s news would increase the NAV per share. Is the issue here that the benefit has already been recognised in our financials previously (presumably when the share price tanked at the start of the year) and therefore this is just the mechanical process of actually crystallising the gain by issuing the shares?

Emerging Fuels Technology Licenses its Fischer-Tropsch Technology to Red Rock Biofuels I think this is a wise move for RRB. With the future of VLS uncertain, its prudent to keep your options open.

DaveHughes 23 Oct 2018

Emerging Fuels Technology Licenses its Fischer-Tropsch Technology to Red Rock Biofuels well it does say " to provide additional FT capacity for RRB’s biorefinery in Lakeview" which implies it is to be alongside the VLS units already ordered. It sounds like IR1 Group are keen to invest more money in their Bioreactors!

Emerging Fuels Technology Licenses its Fischer-Tropsch Technology to Red Rock Biofuels DH: I don’t think so. At this stage, the plant design is set, the long-term orders, such as reactors, should have been placed. Unless it is all smoke and mirrors…

Emerging Fuels Technology Licenses its Fischer-Tropsch Technology to Red Rock Biofuels It sounds to me as though they want to test out the two technologies side by side before they choose which to use on their future bio refineries.

Emerging Fuels Technology Licenses its Fischer-Tropsch Technology to Red Rock Biofuels What is going on? Why does Red Rock Biofuels takes a license from EFT while they have already took and paid for a Fischer-Tropsch technology license to Velocys. Very strange indeed.

+17% this morning So, it’s dropping back today as people realise that RNS was aspirational rather than factual in its content. Ah, well, maybe one day one of their aspirations will come to pass. TP
