Re: STEL-recommends Newfield Resources m... The biggest potential problem may be if the underwriter gets stuck with a pile of unwanted shares at 15¢ and just dumps them on the market, but this worst-case scenario is already in the price. Once we see how well the offer was taken up we'll have a better idea of where we're headed.
Re: STEL-recommends Newfield Resources m... im also baffled but hey ho
Re: STEL-recommends Newfield Resources m... > 50% of STEL shares now confirmed to vote in favour of the deal (with strings to retain their NWF shares for 6 months).Scheme Circular recommending other STEL shareholders to vote in favour is due in the next few days if the vote/proxy share counts are to be completed by 17th April target date. The deal will get my own shares voted in favour.NWF Rights Issue will complete soon, and must be successful given the under-writing. Once the extra shares are released on the ASX market, the NWF share price will re-settle and STEL shareholders will have a more accurate view on the financial worth if the merger proceeds - which I'm sure it will now...Only then, post the announcement of the votes at the STEL shareholders meeting, is the STEL share price likely to get close to the effective offer price (i.e. 12p to 16p a share)...Given the strong likelihood that the merger will now proceed, with no known fall-back plans for STEL to progress, I'm a bit surprised that the minimum 12.5p offer (worth of NWF shares) per STEL share isn't raising the buying interest in STEL... surely a doubling of one's investment within a couple of months must be worth having to those with some spare cash???
Re: STEL-recommends Newfield Resources m... The stronger the NWF share price, the more likely that 75%+ of STEL shareholders will vote in favour of the deal... although I might still sell some of my shares ahead of closure on the deal to avoid having the problem of holding NWF in my SIPP, which isn't allowed by my broker... still not at all sure how I can sell NWF shares and get cash back when I want to sell them - Barclays is not at all helpful at present since the Offer is not yet formally circulated for shareholders to vote...
Re: STEL-recommends Newfield Resources m... Didn't mean to imply that 16p is the offer price, merely that NWF's share price is pushing up the value of the deal to STEL holders.
Re: STEL-recommends Newfield Resources merge... Incredible how little attention this is getting since bid was confirmed. NWF rights issue is underwritten and recent NWF trades since they went ex-rights have been at 33 cents and 30 cents respectively. 30 cents = 16p as I type. Share price should have fallen not risen but no-one seems to have noticed. Also, a big seller of STEL has only 270000 shares left so even if he dumps the remainder, he's nearly finished. Got to be a strong buy under 6p.
Re: Re: I do not like voting up sarky posts but as i see johny wanted it to go bust ill make an exception bhptuner.
Re: Re: I put a limit sell on Wednesdays top @ 6p an hour after it appears, and forgot about it lifted at 8.02 this morning on RNS ( Not sure if this was new "news" )See a sell at 6.4p before makes it more annoying .Showed up 52% to 7 soon after.
STEL-recommends Newfield Resources merger Stellar Diamonds' board recommends Newfield Resources mergerShare 08:42 12 Mar 2018 Existing Stellar shareholders will own 8.14% of the group following the merger and financing. Stellar Diamonds PLCs (LON:STEL) board is recommending a merger with Australian company Newfield Resources Limited, which also operates in Sierra Leone. The deal was flagged at the start of last month and the two groups have now agreed terms.Newfield will offer shares to the equivalent 12.5p per Stellar share, which values the diamond miner at £7.74mln.The Aussie company will lend Stellar US$3mln to help it over its immediate short-term cash needs, while undertaking a right issue to raise A$30mln to re-finance the enlarged group.Existing Stellar shareholders will own 8.14% of the group following the merger and financing. The boards of NWF and Stellar believe that merger and funding will enable the Tongo-Tonguma diamond project to start commercial production. In addition, NWF's exploration to date in Sierra Leone has discovered kimberlites in its licence areas and bulk sampling from some alluvial deposits have resulted in diamond sales attracting over US$450 per carat.Tongo-Tonguma lies to the north-east of NWF's Allotropes diamond project.[link]
