Re: Share consolidation The principal purpose of the consolidation will be to reduce the size of the share register, allowing shareholders with uneconomic small holdings to realise their investment free of dealing charges. In addition, it will reduce the costs of servicing the register for the company. The Board is recommending a consolidation (before the below described Sub Division) which will remove shareholders whose shareholding is below 4,000 shares (less than £150 in value at current market value). Shareholders should note that Chelverton Asset Management and I have indicated a willingness to underwrite and buy these shares.
Re: why is this a plc? Castleford, there appear to be 2 main reasons why this is an AIM listed Plc:1. They use it to raise funds to over pay for acquisitions which are then written off2. They pay ridiculous salaries to Hardy etc who run the business into the ground whilst living off the promises of jam tomorrow I thought new Chairman might see through this but appears I was wrong.However, now would be a good time to take this private as is has been written down to less than 40% of turnover. At least somebody else has taken the hit. Unfortunately it is us the shareholders. Mollysboy

Re: Share consolidation I couldn't find the news anywhere that Chelverton are planning to buy out all the small shareholders but if they are then it must give some consolation to what were otherwise a pretty disappointing set of figures.After all of they're willing to spend over £500k for 11% of the company then they must see value at this price.I think i'll hang on for now.
Re: Share consolidation It all does seem alarming, however get some comfort that the Chairman and Chelverton have offered to underwrite and buy all the small share holders out. Could it be they are planning to take the company private? £6mill goodwill write off seems huge on a small market cap but I guess this will make 2016 accounts look fantastic, so long as they keep the turnover as is or better.

Regeneration time again If the proposed name change is passed at the AGM, it looks as we are going to have to refer to this company as Eadie/Belgravium/Touchstar in future. For goodness sake, I thought this kind of nonsense went out of fashion years ago - who now remembers the name Consignia for example! It doesn't bode well that the (new?) management thinks that just by changing the name again, this will turn around the company's fortunes.
After-tax loss of 6m Wonder what WH Ireland's target price for Belgravium is now - 1p maybe?The chickens have really come home to roost, so presumably a fire sale is the most likely outcome.

For the record, they've actually been on my watch list now for 8 years, but I have never bought!I am taking slightly more interest recently because of the new chairman, but I will continue to stay on the sidelines until there is some real evidence of a change in direction.

Why for example are the CEO and Finance Director still in post? They have been with the company for 15+ years I believe and appear to have completely failed in building any value for shareholders? Surely the time has come for a change at the top?

A private company can be run mainly for the benefit of its staff, as Belgravium has been up to now, but not as a PLC.
Re: New partnership/distribution agreeme... I am still holding may_sell but now see this stock as a longer term investment. Belgravium is an interesting business and Ian Martin, the new executive chairman, has a reasonable track record in turn arounds. If he deals with the senior management then the company will move for forward. If not then it will continue to flounder and decline. The company needs fresh blood, a new CEO and an ambition to spend it's retained cash on developing new products and services not buying turnover at a premium through non core acquisitions. As investors we deserve a clear and concise statement on where it plans to go in the next 3- 5 years, not the usual waffle and claptrap it has spewed out to the city over the last decade.

Re: New partnership/distribution agreement Sounds like yet another smoke and mirrors press release. In essence it's just another software supplier willing to use Touchstar's rapidly ageing hardware. The press release makes no mention of exclusivity or commercial commitment from either party. If Belgravium is to grow its business substantially it needs to invest in designing and delivering a complete system for its customers with built in annuity. Unfortunately that will never happen with a management team that has done the same thing year in year for the last 20 years. The new chairman needs to clear out the rot left by Kembery.
