Re: Large news Successful tender offer to acquire a property in Sofia Black Sea Property PLC, the Bulgarian real estate investment company, is pleased to announce that its subsidiary, BSPF Bulgaria EAD, received confirmation that it was successful in its tender offer to acquire from UniCredit Bulbank AD ("UniCredit Bulbank" an office building at 1, Ivan Vazov Str., a prime location in Sofia (the "UniCredit Building", subject to the approval of UniCredit's Management and Supervisory boards. The total consideration for the acquisition will be EUR 10,520,000, which the Board proposes will be financed by a bank loan of approximately EUR 7,600,000 and the remainder by new equity. To date, the Company has paid a deposit of EUR 1,043,000 (the "Deposit" from its cash resources. Following the payment of the Deposit, the Company currently has limited cash resources and will therefore need to secure additional financing to complete the acquisition and upgrade of both the UniCredit Building and Varna Project Investment OOD (as announced on 12 December 2016). The Directors believe that the Company will be successful in raising the necessary bank finance on acceptable terms, possibly from UniCredit, following advice from AG Asset Management. In addition, the Company believes that it will be able to raise equity finance from existing shareholders and new investors. If the Company fails to complete on the acquisition of the UniCredit Building, the Deposit will be forfeited. The UniCredit Building was completed in 1912 to serve as the head office of the Central Cooperative Bank. It was designed by Nikola Lazarov, one of the most famous architects in Bulgaria and was proclaimed an architectural and art heritage site in 1978. The UniCredit Building is currently owned, and occupied, by UniCredit Bulbank (which will have the option to remain in the building for up to 6 months rent-free after completion of the acquisition). The property has approximately 98,000 square feet of total built-up area and consists of a basement, five floors and an attic. The Chairman of Black Sea Property PLC, Alex Borrelli, said, "The Company's success in tendering for the UniCredit Building presents a rare opportunity to acquire a unique building with historical value in a prime location in the centre of Sofia's financial district." According to the investment proposal presented by AG Asset Management, the Company's investment advisor, assuming a hold period of four years with the office space substantially let, the Company's investment in the UniCredit Building is expected to generate a significant return for the Company. The acquisition of the UniCredit Building is expected to be completed by the end of May 2017, conditional upon fund raising and subject to timing for the completion of the internal approval procedures of UniCredit Bulbank.
